The below Agreement demonstrate the terms and condition for use of AIL’S Authorized Partner Portal https://partner.cppluscloud.com (hereinafter referred as “the website”) by the Authorized Registered Dealer (“AD”) for promotion of business of Aditya Infotech Limited (“AIL / CP Plus”):

Authorised Registered Dealer – User Agreement

This Agreement does not require any physical, electronic or digital signature. This Agreement is a legally binding document between Authorized Registered Dealer and Aditya Infotech Limited. This Agreement will be effective upon your acceptance of the same (directly or indirectly in electronic form or by means of an electronic record) and will govern the relationship and transaction between AD and AIL for the use of the services offered through website.

This Agreement is an electronic record in the form of an electronic contract prepared under Information Technology Act, 2000 and rules made thereunder and the amended provisions pertaining to electronic documents / records in various statutes as amended by the Information Technology Act, 2000.

This is a legal and binding agreement and you are thus directed to please read the terms of agreement carefully before using or registering on the website or accessing any material, information or availing services through the website. If you do not agree with these terms, please do not use the website or avail any services being offered through the website.

This User Agreement shall come into effect upon each visit or usage of the Website, or upon your registration, or upon you providing any information on the Website. In this User Agreement, you are contracting with Aditya Infotech Limited, a company incorporated under Companies Act, 1956 with its registered office at F-28, Okhla Industrial Area, Phase-1, New Delhi – 110020 and Corporate office at A-11 & 12, Sector -4, NOIDA – 201301, hereinafter referred to as "the Platform" which expression unless the context otherwise require shall mean and include its successors, liquidators and assigns.

For the purpose of the User Agreement, "Registered User", "Visitor", and wherever the context may so require, "You" shall mean any natural or legal person who has agreed to become a member of the Website by providing Registration Data (as defined hereinafter) while registering on the Website as a Registered User using the computer systems of the Website, or who has used the Website without becoming a Registered User, and, in both the cases, accepted this electronic version / electronic record of the User Agreement. A Registered User is one who has allocated himself a unique identification user name ("User ID" and "Password") to become Registered User. The term and expression "You" shall, unless the context otherwise requires, include your legal heir, receivers, successors, liquidators and permitted assigns.

As a Registered User, this User Agreement shall be effective and binding upon your 'acceptance'. "Acceptance" shall mean your affirmative action in clicking on the 'check box' and/or on the ‘continue’ button and/or or any affirmative action as provided on the registration page.

If you do not agree or are not willing to be bound by the terms and conditions of this User Agreement, please do not click on the ‘check box’ or on the ‘continue’ button or any other button and do not seek to obtain access to or otherwise use the Website.

AIL reserves the right to change the terms of this member agreement from time to time and without prior notice.

Terms & Condition For Use:

AIL’S Authorized Partner Portal website (https://partner.cppluscloud.com) has been developed and designed for providing a platform to the Registered Authorised Dealer of AIL for bringing transparency in business transactions and also to extend additional services being provided by AIL to its AD.
This agreement applies to all Authorised Registered Dealers of AIL who are individual or business entity/organization that legally operates in India who uses or has the right to use the services provided by AIL to its AD (hereinafter referred as “the user”). The said user can be a visitor who access the web site for any purpose and the said user is bound by the Privacy Policy of AIL and they shall at all time ensure that no information available/ published at the said portal is disseminated to any third party.
REGISTERED USER(S):

To become a Registered User(s) there is a proper procedure which is for the convenience of user(s) so that they can easily log-in and log-out. User(s) can become a Registered User(s) by filling an on-line registration form on the web site by giving desired information (name, contact information, details of its business, etc.).

AIL will establish an account ("Account") for the user(s) upon registration and assign a user alias ("User ID") and password ("Password") for log-in access to your Account. Web site may or may not assign user(s) upon registration a web-based email/message account with limited storage space to send or receive email/messages. User(s) will be responsible for the content of all the messages communicated through the Email Account, as well as the consequences of any such message. If you register on behalf of a business entity, you represent that business entity and (a) you have the authority to bind the entity to terms and condition of use and/or this Agreement; (b) the address you use when registering is the principal place of business of such business entity; and (c) all other information submitted to AIL during the registration process is true, accurate, current and complete. For purposes of this provision, a branch or representative office will not be considered a separate entity and its principal place of business will be deemed to be that of its head office. By becoming a Registered User, you consent to the inclusion of your personal data in our on-line database and authorize AIL to share such information with other user(s). AIL may refuse registration and deny the membership and associated User ID and Password to any user for whatever reason. Registered User are not a part or affiliate of AIL in any way. You hereby consent to be contacted by "AIL" through phone calls, SMS notifications or any other means of communication, in respect to the services provided by AIL.
The use of this website shall not be deemed to create any partnership, joint venture, or other joint business relationship between AIL, AD and any third party.
The services available on the website can be used only by an Individual or representative of the company/ firm/ proprietor etc. who is not a minor and is eligible to execute legally binding contracts.
AIL is not responsible for the possible consequences caused by your behavior during use of web site. AIL may, in its sole discretion, refuse the service to anyone at any time at its own discretion. The service is not available to temporarily or indefinitely suspended members of web site.
AIL may change, modify, amend, or update the user terms and condition from time to time without any prior notification to user(s) and the amended and restated terms and conditions of use shall be effective immediately on posting. If you do not adhere to the changes, you must stop using the service. Your continuous use of the service will signify your acceptance of the changed terms.
AD shall strictly abide and adhere to AIL terms and conditions, policies, as time to time notified / instructed / declared / directed by AIL including but not limited to the targets, Minimum Sale Volume, terms of purchase, Selling Price etc. The AIL will allow to AD such benefits/ schemes or offer as prescribed in the AIL’s Sales Policy and announced, from time to time and will be subject to review and revision according to market conditions and other factors.
AIL will have the right to redefine the Product offering and the terms and prices anytime at its sole discretion, without giving any prior notice to AD. The User/ AD agree that the AIL shall not be held responsible for any loss/damage caused due to revision in prices made by AIL from time to time. Thus, AD shall purchase the products/goods from AIL at the prices indicated in the AIL’s price list from time to time. Such prices will be subject to periodic change and will be applicable at the time of delivery and or on the Invoice/Bill/Debit Memo etc. at the discretion and decision of AIL.
AIL products are sold subject to the applicable standard warranty in effect at the time of sale. Any liabilities in connection with AD’s sale of products other than as set forth in Product’s standard warranty shall not be entertained in any manner. AD shall indemnify and hold AIL harmless with respect to any representation made by him or his officials which is not stated in such product warranty.
AIL hereby assure to make timely delivery of the products. However, AIL shall not be held responsible for failure caused beyond AIL’s control. If the Delivery is delayed by instructions or lack of instructions from the AD, then payment of the full product price or item thereof shall be made within timeline as may be informed by the company / AIL that the Goods are ready for Delivery. All dates of Delivery shall be treated as approximate dates only and AD shall not be entitled to cancel the placed order nor have any claim of whatsoever nature against AIL arising or flowing from delays in Delivery, howsoever caused.
AD shall at all times conduct its business in a manner as shall reflect favorably on AIL and the Products and shall not engage in any deceptive, misleading, illegal, or unethical business practice. The AD shall not offer or sell the Products outside AD's Territory and market & shall refer all inquiries regarding potential customers outside AD's Territory and Market to AIL. AD shall not design, manufacture, or market, nor shall it act as a representative or distributor for, any products that compete with the Products except with prior consent of the AIL. AD shall disclose to AIL the identities of all products and manufacturers that it distributes or represents and shall notify AIL of contemplated additions prior to making new commitments.
The AD shall return or exchange the purchased products strictly as per RMA (Return Material Authorization ) policy of AIL.
This website and its contents are owned and operated by AIL. The visual interfaces, graphics, design, compilation, information, computer code (including source code and object code), products, software, services, and all other elements of the services provided by AIL (hereafter Materials) are protected by Indian copyright, trade dress, patent, and trademark laws, international conventions, and all other relevant intellectual property and proprietary rights, and applicable laws. As between you and AIL, all Materials, trademarks, service marks, and trade names contained on this website are the property of AIL. You agree not to remove, obscure, or alter AIL or any third party’s copyright, patent, trademark, or other proprietary rights notices affixed to or contained within or accessed in conjunction with or through the AIL services. Registered User(s) solely represent, warrant and agree to provide true, accurate, current and complete information to be displayed on the web site and maintain and promptly amend all information to keep it true, accurate, current and complete.
AIL reserves the right in its sole discretion to remove any material/content/photos/offers displayed on the web site which it reasonably believes is unlawful, could subject AIL to liability, violates the terms and conditions and/or Agreement or is otherwise found inappropriate in AIL's opinion. Web site reserves the right to cooperate fully with governmental authorities, private investigators and/or injured third parties in the investigation of any suspected criminal or civil wrongdoing. In connection with any of the foregoing, web site may suspend or terminate the Account of any User as web site deems appropriate in its sole discretion. User(s) agree that web site shall have no liability to any User(s), including no liability for consequential or any other damages, in the event web site takes any of the actions mentioned in this Section, and that you agree to bear the risk that web site may take such actions.

TERMINATION:

However, AIL reserves the right to terminate access to certain areas or features of the web site (to paying or registered users) at any time for any reason, with or without notice. AIL also reserves the universal right to deny access to particular users to any/all of its services/content without any prior notice/explanation in order to protect the interests of AIL and/or other visitors to the web site. AIL reserves the right to limit, deny or create different access to the web site and its features with respect to different user(s), or to change any of the features or introduce new features without prior notice. AIL withholds the right to temporary or permanent termination of membership of any user for any of the reason.
AIL shall not be liable for any failure and/or delay on their part in performing any of its obligation under this Agreement and/or for any loss, damage, costs, charges and expenses incurred and/or suffered by the User(s) by reason thereof if such failure and/or delay shall be result of or arising out of Force Majeure Event set out herein. Explanation: "Force Majeure Event" means any event due to any cause beyond the reasonable control of AIL, including, without limitation, unavailability of any communication system, sabotage, fire, flood, earthquake ,explosion, acts of God, civil commotion, strikes, lockout, and/or industrial action of any kind, breakdown of transportation facilities, riots, insurrection, hostilities whether war be declared or not, acts of government, governmental orders or restrictions breakdown and/or hacking of the Website/B2B portal and/or contents provided for availing the Products and/or services under the Website/B2B portal, such that it is impossible to perform the obligations under the Agreement, or any other cause or circumstances beyond the control of AIL hereto which prevents timely fulfillment of obligation of AIL.
All features and services on the web site are provided on an "as is" and "as available" basis, and web site hereby expressly disclaims any and all warranties, express or implied, including but not limited to any warranties of condition, quality, durability, performance, accuracy, reliability, merchantability or fitness for a particular purpose. This Agreement shall be governed by Indian law. This paragraph shall survive termination of this Agreement.
If any provision of this Term & Condition is held to be unlawful, void, invalid or otherwise unenforceable, then that provision will be limited or eliminated from this Agreement to the minimum extent required, and the remaining provisions will remain valid and enforceable.
Upon termination of this Agreement, any provision which, by its nature or express terms should survive, will survive such termination or expiration as applied to transfers and relationship prior to such termination or expiration.
The heading references herein are for convenience purposes only and they do not constitute a part of these T&Cs and will not be deemed to limit or affect any of the provisions hereof.
AIL shall have the right to assign its obligations and duties in this Agreement and in any agreement relating to any/all of its Services to any person or entity.
The above mentioned terms and conditions of use and/or Agreement and the Privacy Policy constitute the entire agreement between the User(s) and AIL with respect to access to and use of the web site, superseding any prior written or oral agreements in relation to the same subject matter herein.
